The deal would put CNN, CBS News, HBO, Warner Bros., Paramount, Discovery, HBO Max and Paramount+ under the same company, along with franchises like Harry Potter, DC, Game of Thrones, Top Gun and Mission: Impossible.
California and 11 other states had sued to stop the takeover, but they have now reached a settlement with Paramount, removing the biggest remaining legal fight.
The agreement includes conditions around U.S. film production and independent oversight for CNN and CBS News, but it does not force Ellison to sell those networks.
Ellison’s team now says the deal could close within weeks.
